Terms of use of the TAMO B2B portal

I. General Provisions

1. These Terms and Conditions set out the rules for using the B2B portal available at https://b2b-tamo.com/ (hereinafter: 'Website'), the rules for placing orders and concluding sales contracts, and the rights and obligations of the parties.

2. The B2B portal, available at https://b2b-tamo.com/, applies to the online store operated by DIRECT DIGITAL Sp. z o.o. with its registered office in Bydgoszcz at (85-023), ul. Toruńska 33, KRS: 0000915881, NIP: 9532784828, REGON: 389662490, (hereinafter referred to as the 'Seller'), in cooperation with .mdd Sp. z o.o. with its registered office in Sępólno Krajeńskie at (89-400), ul. Koronowska 22, KRS:0000097731 NIP:5611437378, REGON 092911632 and TAMO DESIGN Sp. z o.o., with its registered office in Gdynia at (81-547) al. Zwycięstwa 220, KRS: 0001141340, NIP: 5862412329, REGON: 540312833.

3. The Customer may access these Terms and Conditions at any time at https://b2b-tamo.com/

4. These Terms and Conditions apply to cooperation conducted in the country where the Customer has its registered office.

II. Definitions

The terms used in the Terms and Conditions mean:

1. Portal – a website available at https://b2b-tamo.com/ enabling the placement and tracking of orders and the preparation of offers for B2B Customers.

2. B2B Customer – an entrepreneur or a person authorised by an entrepreneur who makes purchases or uses the Portal.

3. Seller – DIRECT DIGITAL Sp. z o.o. with its registered office in Bydgoszcz at (85-023), ul. Toruńska 33, KRS: 0000915881, NIP: 9532784828, REGON: 389662490.

4. Registration form – a form available on the Website, enabling the creation of an Account.

5. Account – the Customer's account on the Website, where the data provided by the Customer is stored. The Account enables the placement and tracking of Orders and the creation of Offers.

6. Offer – an offer of the Seller's products created and configured by the Customer for a specific recipient, created on the Website.

7. Terms and Conditions – these terms and conditions of use of the TAMO B2B Portal.

8. Order – a declaration of will made by the Customer using the order form and aimed directly at concluding a Sales Agreement for a product or products with the Seller.

9. Sales Agreement – a distance sales agreement concluded between the Customer and the Seller.

III. Terms of Use of the Portal

1. The Portal enables Users to place Orders, prepare and share Offers, manage their Accounts, and view their Order history and status.

2. Registration is voluntary but necessary to use the Portal's functionality.

3. Use of the Portal is possible provided that the ICT system used by the Customer meets the following minimum technical requirements:

   • Internet Explorer version 7.8 or higher with JavaScript enabled, Mozilla Firefox version 63 or higher, Google Chrome version 70 or higher,
   • minimum screen resolution of 1024 x 768 pixels.

4. In order to use the Portal, the Customer should obtain access to a computer workstation or terminal device with Internet access on their own.

5. To the fullest extent permitted by law, the Seller shall not be liable for any disruptions, including interruptions in the functioning of the Portal, caused by force majeure, unlawful actions of third parties or incompatibility of the Portal with the Customer's technical infrastructure.

6. The Customer may contact the Seller by telephone between 7:00 a.m. and 4:00 p.m. Polish time (CEST).

V. Conclusion of the Sales Agreement

1. An order is placed by completing the order form available on the Website and accepting the Terms and Conditions.

2. The Sales Agreement is concluded upon confirmation of the Order and payment for it.

3. The rules for the execution of Orders, including delivery times, delivery methods, available payment methods, transport costs and rules for submitting complaints, are specified in the online shop's Terms and Conditions available at: https://mdd.eu/en/terms-of-use/

VI. Termination of Cooperation

1. The Customer may terminate their use of the Portal at any time by deleting their Account.

2. The Seller may deprive the Customer of the right to use the Portal, as well as restrict their access to part or all of the Portal's resources, with immediate effect, in the event of a breach of the Terms and Conditions by the Customer, in particular if the Customer:

   • provided false, inaccurate or outdated information during registration on the Portal, which is misleading or violates the rights of third parties;
   • has violated the personal rights of third parties through the Portal, in particular the personal rights of other Customers;
   • has committed other acts which are considered by the Seller to be contrary to applicable law or good manners;
   • is in arrears with payment for any Order.

3. A Customer who has been deprived of the right to use the Online Store may not re-register without the prior consent of the Seller.

VII. Personal Data

1. The processing of Customers' personal data is based on the Privacy Policy, the current version of which is available at: https://b2b-tamo.com/en/general-privacy-policy-tamo/

2. In order to ensure the security of messages and data transmission in connection with the services provided through the Portal, the Seller shall take technical and organisational measures appropriate to the level of security risk of the services provided, in particular measures to prevent unauthorised persons from obtaining and modifying personal data transmitted over the Internet.

VIII. Responsibilities of the Seller

1. The Seller shall be liable for the conformity of the goods with the contract on the terms specified in the Civil Code.

2. The Seller shall not be liable for any direct or indirect damage, loss of income, profits or value, except for those caused by wilful misconduct, which may arise for the Customer in connection with the cooperation.

3. The Seller shall not be liable for any interruptions in access to the Portal, errors or malfunctions of the Portal.

4. The Customer waives the right to compensation in a scope and amount exceeding the provisions of this paragraph, which does not violate the generally applicable provisions of Polish law, which provide otherwise.

IX. Copyright

1. All materials available on the Portal are protected by copyright and may not be copied or distributed without the Seller's consent.

X. Final Provisions

1. The Seller reserves the right to amend the Terms and Conditions at any time. The Seller shall notify the Customer of any amendments at least 3 days in advance.

2. In matters not covered by these Terms and Conditions, the generally applicable provisions of Polish law shall apply, in particular: the Civil Code; the Act on the provision of electronic services. All matters related to the validity of these Terms and Conditions shall be subject to the jurisdiction of Polish law, and the competent court shall be the court competent for the Seller's registered office, i.e. the court in Sępólno Krajeńskie or the court in Bydgoszcz, Poland, depending on which of these courts has jurisdiction over the matter.

3. These Terms and Conditions shall come into force on the date of their publication at https://b2b-tamo.com/, i.e. on 16 January 2026.
